The article aims to analyze the influence of institutionalism on the legal structure of corporations. For this purpose, the origins of institutionalist thinking and its spillover to Corporate Law are examined. Following, a critical analysis of the problem is elaborated, much less to remove the Institutional Theory of the life of the companies and much more to propose its framing in the daily exercise of the company.
