Our partner, Mauricio Moreira Menezes, contributed to an article for Valor Econômico newspaper about the creation of the Facilitation of Access to Capital and Listing Incentives Regime (Regime de Facilitação do Acesso à Capital e Incentivo a Listagens), which aims to stimulate the growth of the Brazilian capital markets. The topic is one of the most awaited items on the regulatory agenda of the Brazilian Securities and Exchange Commission (CVM) this year.
Regarding companies that are already publicly held and wish to qualify as “Small-Cap Companies,” Mauricio noted that obtaining the consent of securities holders should follow the majority rule, which prevails in corporate law.
In his opinion, the wording of the regulatory rule to be created by the CVM could be improved to clarify that a majority of those present at the special meeting of securities holders would be sufficient.
