Our Firm prepared a survey regarding the Ordinary General Meetings of 2024 (up to June 27th) of publicly traded companies listed in the “Novo Mercado,” “Level 1,” and “Level 2” segments of B3 S.A – Brasil, Bolsa, Balcão. The study aimed to analyze the following aspects: (i) the reelection of members of the Board of Directors and Supervisory Board, and the presence of members holding positions in more than one Board of Directors or Supervisory Board, as applicable; (ii) gender and racial diversity on the Boards of Directors and Supervisory Board; (iii) the amounts of remuneration approved for members of the Boards of Directors and Supervisory Board; and (iv) the use of multiple voting and separate voting mechanisms for the election of members to the Board of Directors and, in the latter case, the Supervisory Board.
Our study also addressed specific points such as the types of AGMs (Annual General Meetings); reasons for the high/low effectiveness of multiple and separate voting in the analyzed cases; methods for requesting multiple and separate voting; and comparisons between the 2024 research data and those from previous years.
