
Our firm has prepared a report on the 2025 Annual Shareholders’ Meetings (held up to May 27, 2025) of publicly held companies listed in the “Novo Mercado”, “Nível 1” and “Nível 2” segments of B3 S.A. – Brasil, Bolsa, Balcão.
The study sought to analyze the following aspects: (i) gender and racial diversity on Boards of Directors and Supervisory Boards; (ii) compensation amounts approved for members of the management and the Supervisory Boards; and (iii) the use of cumulative voting and separate voting mechanisms for the election of members of the Board of Directors and, in the latter case, the Supervisory Boards.
The report also includes a comparative analysis of the use of cumulative and separate voting in recent years, based on studies conducted by the firm since the 2021 Annual Shareholders’ Meetings.
